Transparenzregister: Declaring Beneficial Owners

The Transparenzregister records who actually owns and controls German companies, so nobody can hide behind layered corporate structures. It is an anti-money-laundering and counter-terrorism-financing tool.

Every GmbH files, within one month

Every GmbH (and most other legal entities) must report its beneficial owners. Once your company is entered in the Handelsregister, you have one month to notify the Transparenzregister.

What counts as a beneficial owner

A wirtschaftlich Berechtigter (beneficial owner) is a natural person who:

  • Holds more than 25% of the shares, or
  • Controls more than 25% of the voting rights, or
  • Otherwise exercises control (for example through contracts or behind-the-scenes influence).

If no individual crosses the 25% threshold, the law names your managing director(s) as the fictitious beneficial owner, and you register them instead.

No notary needed

Register online through the register's portal. Unlike the Handelsregister, this needs no notary, because the entry has no direct effect on business transactions and offers only limited good-faith protection. You submit the owner's name, date of birth, residence, and the nature and extent of their interest.

Do not assume you are exempt

The register moved to a full register: every company files now, not just those with gaps elsewhere. The deadline is one month after the Handelsregister entry.

Watch these

  • Missing or incorrect filings are treated as an Ordnungswidrigkeit (administrative offense) and can draw significant fines. Fines are published, which is its own reputational cost.
  • Keep the entry current. A share transfer, a new investor crossing 25%, or a change of managing director all require an update.
  • Watch for scam letters. Fraudsters send official-looking invoices demanding fees for fake "transparency registries." Use only the official register.

It is a quick filing with a short deadline and real penalties. Put it on the checklist the day your Handelsregister confirmation arrives.
